10mil Technologies Ltd — Terms of Service

Version 1.2 · Effective 4 October 2026

Changes in 1.2: clarified billing, cancellation at the end of the billing period, and that subscriptions and credits are non-refundable.

1. Introduction & Acceptance

These Terms of Service (“Terms”) form a binding agreement between 10mil Technologies Ltd (“10mil”, “we”, “us”, “our”), a company registered in England and Wales, and the person or entity accessing or using the 10mil platform (“you”, “User”). By creating an account, ticking the acceptance checkbox during onboarding, or otherwise using the platform, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not use the platform.

These Terms are effective from 4 October 2026 and are identified as Version 1.2.

2. Definitions

  • Platform — the 10mil workshop management web application, customer portal, AI features, mobile/PWA experiences, and related APIs and services.
  • Workshop — a business or sole trader providing vehicle servicing or repair, using the Platform to manage their operations.
  • User — any individual using the Platform, including Workshop owners, staff members and Customers.
  • Customer — a vehicle owner using the customer portal made available by a Workshop.
  • Credits — fractional units of metered usage consumed by AI Features and certain integrations.
  • Subscription — a paid plan (Free, Pro or Master) granting access to defined Platform features.
  • AI Features — Platform functionality powered by large language models or other AI systems, including AI Master Tech, AI Consult, Guided Diagnostics, Remote Diagnostics, AI Labour Estimates and the AI Receptionist.

3. Description of Service

The Platform provides Workshops with tools including, without limitation:

  • Workshop management (CRM, bookings, quotes, invoices, parts, accounting).
  • AI diagnostic and decision-support tools.
  • A branded customer portal for Workshop Customers.
  • An AI Receptionist for handling inbound calls.
  • Display of technical data sourced from HaynesPro (InfoPro Digital).
  • Payment processing via Stripe Connect (Express accounts).

4. Account Registration & Eligibility

You must be at least 18 years old and operating a legitimate business to register a Workshop account. You agree to provide accurate, current and complete information and to keep it up to date. The Workshop owner is responsible for the actions of all staff accounts they create or invite, and for ensuring those staff members comply with these Terms.

5. Business Users & Consumer Users

These Terms primarily govern Workshop (business) users who subscribe to and operate the Platform in the course of their business. Customers who use the customer portal made available by a Workshop are consumers, and nothing in these Terms is intended to remove, limit or otherwise affect any statutory rights they have under UK consumer law, including (without limitation) the Consumer Rights Act 2015. Where any provision of these Terms would conflict with a consumer’s non-excludable statutory rights, those statutory rights prevail.

6. Subscription Plans, Billing & Refunds

The Platform is offered on a Free plan and a paid Master plan. Certain AI Features consume Credits. All payments are processed by Stripe.

  • The Master plan is a monthly subscription billed in advance.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period; you keep paid features until then and are not charged again.
  • Subscriptions are non-refundable. We do not give refunds or credits for partial periods or for unused monthly allowance credits.
  • Purchased top-up Credits are non-refundable, have no monetary value outside the Platform, and do not expire while your account is open.
  • 10mil may issue a refund at its discretion or where required by law. Nothing in these Terms affects your statutory rights.
  • If a recurring payment fails, we may suspend access to paid features until payment is restored.
  • We may change prices by giving you at least 30 days’ notice. Changes apply from your next billing period.

7. Acceptable Use Policy

You agree not to:

  • Resell, sublicense or otherwise make the Platform available to third parties outside your Workshop.
  • Reverse engineer, decompile, scrape, or attempt to derive source code or training data from the Platform.
  • Use the Platform for any unlawful, fraudulent or harmful purpose.
  • Circumvent, manipulate or interfere with the Credit system, rate limits, or any security or authentication mechanism.

8. AI Features Disclaimer

AI Features are provided as decision-support tools only. They do not constitute professional mechanical, engineering, safety or legal advice. The Workshop owner remains solely responsible for all repair, safety, diagnostic and roadworthiness decisions, and for verifying any AI output against authoritative sources before acting on it.

You acknowledge and agree that:

  • The Workshop owner is responsible for holding and maintaining appropriate professional indemnity and public liabilityinsurance covering their repair, diagnostic and servicing work.
  • AI output may contain errors, omissions or inaccuracies, including incorrect torque values, repair steps, part references or diagnostic conclusions.
  • The Workshop must independently verify all diagnostic conclusions, torque values, repair procedures and safety-critical information against manufacturer specifications and other authoritative sources before carrying out any work.
  • The Platform and its AI Features are not a substitute for qualified professional judgement, training or experience.

To the maximum extent permitted by law, 10mil accepts no liability for any reliance placed on AI output.

9. HaynesPro Data

Technical data displayed in the Platform may be sourced from HaynesPro (a brand of InfoPro Digital) and is provided strictly subject to their licensing terms. You may not extract, scrape, copy, store outside the Platform, or redistribute HaynesPro data in any form. HaynesPro data is for display within the Workshop interface only and must not be passed to third-party AI systems.

10. Customer Portal & Data Processing

When Customers use the portal made available by a Workshop, the Workshop is the Data Controller for that Customer’s personal data and 10mil acts as Data Processor on the Workshop’s instructions. Each Workshop is responsible for maintaining its own privacy policy, responding to data subject requests from its Customers, and meeting its obligations under UK GDPR and the Data Protection Act 2018.

11. AI Receptionist & Call Recording

The AI Receptionist feature records, transcribes and processes inbound telephone calls using AI in order to answer enquiries, take messages, and create bookings on behalf of the Workshop.

  • Workshops enabling this feature are responsible for ensuring that callers are appropriately informed that calls may be recorded, transcribed and processed by an automated AI system, in line with applicable UK law and Ofcom / ICO guidance.
  • Call recordings, transcripts and associated metadata are stored and handled as described in the Privacy Policy.
  • The Workshop, acting as Data Controller, is responsible for establishing and documenting the lawful basis for processing caller personal data, for honouring data subject rights, and for any additional notices or consents required by law.
  • 10mil acts as Data Processor for this feature and processes caller data only as necessary to provide the AI Receptionist service.

12. Stripe Connect & Payments

Payments between Workshops and their Customers are processed through Stripe Connect (Express accounts). 10mil applies a 3.99% platform feeon Customer payments processed through the Platform. 10mil is not a party to the contract between a Workshop and its Customer and accepts no liability for disputes, chargebacks, refunds, or any other matter arising from that contract.

13. Intellectual Property

10mil Technologies Ltd owns all right, title and interest in the Platform, including its source code, design, brand, trademarks, documentation, and its own proprietary prompts, workflows, model configurations and derivative works.

Where the Platform uses third-party AI models (for example, models accessed via the Lovable AI Gateway, Google or OpenAI), those underlying models, weights and associated intellectual property remain the property of their respective providers, and 10mil claims no ownership of them. 10mil owns only its own implementations, prompt engineering, orchestration and derivative works built on top of those third-party services.

Users retain ownership of the data they upload (“User Data”) and grant 10mil a non-exclusive licence to host, process and display User Data solely to operate the Platform.

14. Data Protection & Privacy

Our processing of personal data is described in our Privacy Policy. 10mil complies with the UK GDPR and the Data Protection Act 2018. Personal data is stored within the European Union. You have the right to access, rectify, port and erase your personal data as described in the Privacy Policy and the in-app “My Data” export tools.

15. Confidentiality

10mil treats Workshop business data as confidential and will not access, disclose or use it except to operate, maintain and improve the Platform, to comply with law, or with the Workshop’s instructions. We require our staff and sub-processors to be bound by equivalent confidentiality obligations.

16. Service Availability

The Platform is provided on an “as is” and “as available” basis. We use reasonable endeavours to maintain high availability but do not guarantee uninterrupted, error-free, or fault-free service. Planned maintenance, third-party outages, or events outside our reasonable control may affect availability.

17. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded (including liability for death or personal injury caused by negligence, or fraud, and including consumers’ non-excludable statutory rights). Subject to that, 10mil’s total aggregate liability arising out of or in connection with the Platform shall not exceed the Subscription fees paid by you to 10mil in the twelve (12) months preceding the event giving rise to the claim. 10mil shall not be liable for any indirect, special, incidental, consequential, or punitive losses, or for loss of profit, revenue, goodwill, anticipated savings, data or business opportunity.

18. Indemnification

You (as a Workshop / business user) agree to indemnify and hold harmless 10mil, its officers, employees and agents from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your processing of Customer personal data; or (d) any dispute between you and a Customer. This indemnity does not apply to consumer Customers using the customer portal.

19. Termination

Either party may terminate this agreement at any time. We may suspend or terminate access immediately for material breach of these Terms or where required by law. On termination you may export your data via the in-app export tools; we will retain data only for as long as required by law (including HMRC record-keeping obligations) and will then delete it. There is no lock-in: Subscription cancellation takes effect at the end of the current billing period.

20. Changes to Terms

We may update these Terms from time to time. We will give at least thirty (30) days’ notice of material changes via the Platform or email. Continued use of the Platform after the notice period constitutes acceptance of the updated Terms.

21. Governing Law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
